TERMS OF SERVICE

The Hutter Platform — Operated by The Hutter Ltd.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE HUTTER PLATFORM. BY ACCESSING OR USING THIS PLATFORM YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THE PLATFORM. THESE TERMS CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU AND THE HUTTER PLATFORM.


1. NATURE OF THE PLATFORM — MARKETPLACE ONLY

1.1 Marketplace Only

The Hutter Platform is a technology marketplace that connects buyers and sellers of agricultural products, manufactured goods, fuel, supplies, and related services. The Hutter Platform operates the platform and provides technology infrastructure but does not itself buy, sell, produce, store, handle, ship, or warrant any goods or services listed on the platform.

1.2 Technology Intermediary

The Hutter Platform acts solely as a technology intermediary. We provide the tools, listings, communications infrastructure, and payment facilitation but are not a party to any transaction completed through the platform. We do not take title to any goods, do not act as agent for any buyer or seller, and do not guarantee the performance of any party to a transaction.

1.3 Transactions Between Users

All purchases, sales, agreements, and contracts are entered into directly between buyers and sellers. The Hutter Platform is not responsible for the quality, safety, legality, or delivery of any item listed or sold on the platform, nor for the truth or accuracy of any listing, nor for the ability of sellers to sell or buyers to pay.


2. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE HUTTER PLATFORM FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

2.1 Liability Cap — $100 CAD

Regardless of the form of the action (whether in contract, tort, negligence, strict liability, or otherwise), and regardless of the basis of the claim, the maximum liability of The Hutter Platform to any user shall not exceed one hundred Canadian dollars ($100 CAD) in the aggregate.

2.2 Consequential Damages Exclusion

The Hutter Platform shall not be liable for any of the following, even if advised of the possibility of such damages:

  1. (a) Loss of profits or revenue
  2. (b) Loss of business or contracts
  3. (c) Loss of anticipated savings
  4. (d) Loss of data or information
  5. (e) Loss of goodwill or reputation
  6. (f) Business interruption of any kind
  7. (g) Any indirect, incidental, special, or consequential damages of any nature

2.3 Product Liability — Zero

The Hutter Platform accepts zero product liability for goods sold through the platform. All product liability rests solely with the seller of the goods. Buyers acknowledge that they are transacting directly with the seller and that the platform provider has no involvement in the manufacture, handling, storage, or delivery of goods.

2.4 Food Safety Disclaimer

The Hutter Platform makes no representations regarding the food safety, handling conditions, regulatory compliance, or fitness for consumption of any food product listed on the platform. All food safety obligations, certifications, and regulatory compliance are the sole responsibility of the seller. Buyers assume all risk associated with the purchase and consumption of food products obtained through the platform.


3. SELLER RESPONSIBILITIES

3.1 Accuracy of Listings

Sellers are solely responsible for the accuracy, completeness, and legality of all listings. Sellers warrant that:

  1. (a) All product descriptions, weights, grades, and specifications are accurate and not misleading;
  2. (b) The seller has legal title or authority to sell all listed goods;
  3. (c) All goods comply with applicable Canadian and, where relevant, United States regulations;
  4. (d) All required licenses, permits, and certifications for the sale of listed goods are held by the seller and in good standing.

3.2 Seller Indemnification

Each seller agrees to indemnify, defend, and hold harmless The Hutter Platform, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  1. (a) Any product sold through the platform;
  2. (b) Any inaccuracy or misrepresentation in a seller's listing;
  3. (c) Any failure to comply with applicable laws or regulations;
  4. (d) Any food safety issue, product defect, or injury arising from a sold product;
  5. (e) Any dispute between the seller and a buyer conducted through the platform.

3.3 Supplier Portal

Suppliers accessing the Supplier Portal agree to these Terms in their entirety. The Supplier Portal is provided as a convenience tool for managing listings and orders. The Hutter Platform reserves the right to suspend or terminate supplier access at any time, with or without cause.


4. COMMERCIAL AND INTERNATIONAL TRADE

4.1 Independent Transactions

All commercial transactions facilitated through the platform are independent transactions between the relevant buyer and seller. The Hutter Platform is not a party to any such transaction and assumes no responsibility for the outcome of any transaction.

4.2 No Brokerage

Nothing in these Terms or on the platform creates a brokerage, agency, partnership, joint venture, or employment relationship between The Hutter Platform and any user. The Hutter Platform does not act as a broker, dealer, or intermediary in any regulated sense with respect to any commodity, financial product, or regulated goods.

4.3 Trade Compliance

Users are solely responsible for compliance with all applicable trade laws and regulations, including without limitation:

  1. (a) Canadian export and import controls under the Export and Import Permits Act;
  2. (b) United States Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR);
  3. (c) Economic sanctions administered by Global Affairs Canada and the US Office of Foreign Assets Control (OFAC);
  4. (d) Canadian Food Inspection Agency (CFIA) requirements for agricultural products;
  5. (e) US Department of Agriculture (USDA) and Food and Drug Administration (FDA) requirements;
  6. (f) Customs and border requirements of all relevant jurisdictions;
  7. (g) All applicable provincial and state regulations governing the sale and transport of agricultural commodities.

4.4 Loss of Funds

The Hutter Platform is not responsible for any loss of funds arising from international transactions, currency fluctuations, banking delays, wire transfer failures, or fraud by any party. Users engage in international commercial transactions at their own risk.

4.5 Payment Disputes

All payment disputes between buyers and sellers must be resolved directly between the parties. The Hutter Platform will cooperate reasonably with dispute resolution processes but is not obligated to hold, release, or adjudicate any funds. Payment processing is handled by Stripe and is subject to Stripe's own terms of service.


5. FUEL PORTAL DISCLAIMER

5.1 Information Only

The Fuel Portal provides pricing information, supplier connections, and fuel procurement tools for informational purposes only. The Hutter Platform does not supply, broker, store, handle, or guarantee delivery of any fuel product.

5.2 No Price Guarantee

Fuel prices displayed on the platform are indicative only and subject to change without notice. The Hutter Platform makes no representation that displayed prices are current, accurate, or available for any particular volume or delivery location. All fuel pricing must be confirmed directly with the relevant supplier.

5.3 Regulatory Compliance

Users of the Fuel Portal are solely responsible for compliance with all applicable federal, provincial, state, and local laws governing the purchase, storage, transportation, and use of fuel, including without limitation dangerous goods regulations and environmental requirements.


6. GRANTS INFORMATION DISCLAIMER

6.1 Not Financial or Legal Advice

All grants and funding information provided on the platform is for informational purposes only and does not constitute financial, legal, or tax advice. The Hutter Platform makes no representation regarding the accuracy, completeness, or eligibility criteria of any grant program listed on the platform.

6.2 No Guarantee of Funding

Listing a grant program on the platform does not guarantee eligibility, approval, or funding for any user. Users are responsible for verifying grant information directly with the relevant government authority or funding body. Grant programs may change, close, or be discontinued without notice.

6.3 Independent Verification Required

Users are strongly encouraged to seek independent legal and financial advice before applying for any grant or funding program. The Hutter Platform accepts no liability for any loss arising from reliance on grant information provided on the platform.


7. AGTECH TESTING DISCLAIMER

7.1 Pilot Programs and Testing

AgTech features, testing programs, and pilot projects offered through the platform are provided on an “as-is” and “as-available” basis. Results of any AgTech test, trial, or pilot program are not guaranteed and will vary based on numerous factors outside the control of The Hutter Platform.

7.2 No Endorsement

The listing of any AgTech product, service, or technology on the platform does not constitute an endorsement by The Hutter Platform of that product, service, or technology. Users conduct their own due diligence before adopting any AgTech solution.

7.3 Regulatory Approval

Users are responsible for verifying that any AgTech product or service complies with all applicable regulatory requirements, including without limitation approvals from Agriculture and Agri-Food Canada, Health Canada, the USDA, the EPA, or any other applicable authority.


8. PLATFORM FEES AND PAYMENT

8.1 Fees

The Hutter Platform charges platform fees for certain transactions and services as described on the platform. Applicable fees will be disclosed before any transaction is completed. We reserve the right to modify our fee structure upon reasonable notice to users.

8.2 Payment Processing via Stripe

All payment processing on the platform is handled by Stripe, Inc. By using the payment features of the platform you agree to Stripe's Terms of Service and Privacy Policy, available at stripe.com. The Hutter Platform does not store credit card or banking information and is not responsible for errors or failures in payment processing by Stripe.

8.3 Chargebacks and Refunds

Refunds and chargeback policies are set by individual sellers. The Hutter Platform does not guarantee refunds for any transaction. In the event of a chargeback, The Hutter Platform reserves the right to suspend the relevant user account pending resolution by Stripe and the relevant financial institution.


9. DISPUTE RESOLUTION

9.1 Governing Law — Alberta, Canada

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

9.2 Jurisdiction

Subject to Section 9.4, any dispute arising out of or relating to these Terms or the platform shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada. You irrevocably submit to the personal jurisdiction of such courts for this purpose.

9.3 US Users

Users accessing the platform from the United States acknowledge that the platform is operated from Canada and that Canadian law governs all disputes. US users waive any right to assert that any other law applies or that any other court has jurisdiction over disputes arising under these Terms.

9.4 Mediation

Before commencing any legal action, parties agree to attempt good-faith mediation through a mutually agreed mediator in Calgary, Alberta for a period of not less than thirty (30) days. The cost of mediation shall be shared equally between the parties.

9.5 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE ACTION AGAINST COLONIES UNITE INC. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.


10. PLATFORM ACCESS AND ACCOUNT TERMINATION

10.1 Access Rights

The Hutter Platform grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform in accordance with these Terms. This license does not include any right to resell or make commercial use of the platform or its contents; to collect and use any product listings or descriptions; or to download or copy account information for the benefit of any third party.

10.2 Suspension and Termination

The Hutter Platform reserves the right to suspend or terminate any user account at any time, with or without notice and with or without cause. Upon termination, your right to access the platform immediately ceases. Termination does not relieve you of any obligations incurred prior to termination.

10.3 Prohibited Conduct

You agree not to use the platform to: engage in any unlawful activity; post false, misleading, or fraudulent listings; scrape or harvest data; interfere with the operation of the platform; circumvent any access controls; or violate the rights of any third party. Violation of these prohibitions may result in immediate termination and potential legal action.


11. MODIFICATIONS

The Hutter Platform reserves the right to modify these Terms at any time. Changes will be posted to this page with a revised effective date. Where required by applicable law, we will provide notice of material changes. Your continued use of the platform after the posting of changes constitutes your acceptance of the revised Terms. If you do not agree to any revised Terms, you must discontinue use of the platform immediately.
